Privacy Policy

This Privacy Policy ("Policy") is created and adopted by Kleos Ventures LLP, a limited liability partnership registered in Mumbai, India (PAN: AAWFK2797G), having its registered office at 18B Citadel Building, Flat No. 401, 4th Floor, LD Ruparel Marg, Nepeansea Road, Mumbai – 400006 ("Kleos", "we", "us" or "our"), to explain how Kleos collects, uses, stores, shares and protects personal data through the Pickory mobile application and associated website and services (collectively, the "Platform").

Pickory is a hyperlocal marketplace that connects parents and guardians with academies, coaching centres, activity classes and independent teachers for children ("Services"). In relation to the personal data processed through the Platform, Kleos acts as a Data Fiduciary under the Digital Personal Data Protection Act, 2023 (the "DPDP Act") and the Digital Personal Data Protection Rules, 2025 (the "DPDP Rules"), read together with the Information Technology Act, 2000 and the rules made under it.

This Policy applies to all users of the Platform, namely parents and guardians ("Parents"), academies, coaching centres and independent teachers ("Providers"), and it explains how we handle the personal data of the children on whose behalf a Parent uses the Platform. By using the Platform, you acknowledge that you have read and understood this Policy. Where the law requires your consent, we will obtain it separately through a clear consent notice at the point of collection.

We may update this Policy from time to time. We will publish the updated Policy on the Platform and, where the change is material, provide notice through the Platform or by other reasonable means. Your continued use of the Platform after the effective date of an updated Policy constitutes acceptance of the changes, save where fresh consent is required by law.

1. Definitions

In this Policy, the following terms have the meanings given below. Other capitalised terms have the meaning given in our Terms of Use.

1. "Child" shall mean an individual who has not completed eighteen (18) years of age.
2. "Data Principal" shall mean the individual to whom the personal data relates. Where that individual is a child, it includes the parent or lawful guardian.
3. "Data Fiduciary" shall mean the person who determines the purpose and means of processing personal data — here, Kleos Ventures LLP.
4. "Data Processor" shall mean a person who processes personal data on behalf of a Data Fiduciary (for example, our cloud and communication service providers).
5. "Personal Data" shall mean any data about an individual who is identifiable by or in relation to such data.
6. "Processing" shall mean any operation performed on personal data, including collection, storage, use, sharing, disclosure or erasure.

2. The Data We Collect

For inter alia the purpose of rendering our services and operating the Platform, we collect the following types of data from Parents and Providers, for the specific purposes captured hereunder:

Data collected from Parents

From a Parent who signs up with Kleos, we shall collect the following data for the following purposes:

1. Full name — We need and collect the full name of the Parent to identify the account.
2. Mobile Number — We need and collect the mobile number of the Parent to authenticate the account created by the Parent and to send communication to them regarding the Services.
3. Email address — We need and collect the email address of the Parent to authenticate the account created, to send across account details, payment receipts and send notifications of Services availed, Services available and notifications regarding new classes added if the Parent asks to be provided such notifications.
4. Home address / pincode — We need and collect the home address / pincode of the Parent to conduct pincode-based discovery of nearby classes (no real-time GPS) and inform the Parent of the classes of interest to them.
5. Child's name, age, grade/school — We need and collect these details to provide search results relevant to the Parents.
6. Payment details — The payment is handled through our financial gateway and we only store the transaction reference and not any financial details, such as credit card number, etc. of the Parent.

Data collected from Providers

1. Academy / School name — We need and collect the same for listing purposes.
2. Branch, class and faculty details — We need and collect the same for our listings so that the listing can be accurate and comprehensive, for capturing the correct schedule of classes for the listing and for batch management.
3. Location / branch address — We need and collect the same to use in our database of listings and to enable pincode-based discovery of nearby classes for the Parent.
4. IP address — We need the same to authenticate the account and monitor its usage.
5. Teacher name — We need and collect the same for listing purposes.
6. Mobile Number — We need and collect the same to authenticate the account created and to send communication to them regarding the Services.
7. Contact email — We need and collect the same to authenticate the account created and to send communication to them regarding the Services.
8. PAN and GST details — We need and collect the same for the identity verification process and legal compliance.
9. Bank account details — We need and collect the same for payment disbursement.
10. Student enrolment / attendance — We need and collect the same for batch and attendance management.
11. Revenue and fee data — We need and collect the same for the financial dashboard and reporting.

We do not knowingly collect medical, health, biometric or special-needs data of any child through the Platform. If a Provider (for example, a gymnastics or fitness academy) chooses to collect such information from a student, that collection is carried out by the Provider in its own capacity and on its own responsibility, and Kleos does not solicit, control or store that data as a Data Fiduciary.

3. How and Why We Use Personal Data

We process personal data only for lawful purposes and only to the extent necessary for those purposes, including to:

1. create and manage user accounts and authenticate users through OTP;
2. enable Parents to discover, compare and book classes, and enable Providers to list and manage their offerings;
3. process bookings and payments, issue receipts and disburse payments to Providers;
4. provide customer support and respond to grievances;
5. send service communications, booking confirmations and, where applicable, subscription renewal reminders;
6. maintain the security, integrity and proper functioning of the Platform, and detect and prevent fraud;
7. improve the Platform and, in respect of adult account holders only, generate aggregated and/or anonymised insights on listing performance and booking activity; and
8. comply with applicable law and respond to lawful requests from authorities.

We do not sell, rent or trade personal data — We do not share personal data with any third party for that party's own advertising or marketing, and we do not use retargeting or remarketing pixels.

4. Legal Basis and Consent

We process personal data on the basis of your consent, or for other lawful uses permitted under the DPDP Act (such as processing necessary to provide a service you have requested, or to comply with law).

1. Where we rely on consent, we present a clear, itemised consent notice — in English and, on request, in the languages set out in the Eighth Schedule to the Constitution — describing the personal data collected, the purpose, how you may exercise your rights, and how you may complain to the Data Protection Board of India. Consent is sought through a clear affirmative action and is limited to what is necessary for the stated purpose.
2. You may withdraw your consent at any time through your account settings or by writing to our Grievance Officer. Withdrawal is as easy as giving consent. Withdrawing consent will not affect the lawfulness of processing carried out before withdrawal, and may mean we can no longer provide some or all of the Platform's features to you.
3. You may exercise your rights, give or withdraw consent, and raise grievances directly or through a Consent Manager registered with the Data Protection Board of India, where available.

5. Children's Personal Data

Protecting children's data is central to the Platform and since Pickory exists to help Parents find classes for their children, we process limited Personal Data relating to children. The following safeguards shall always apply to the limited Personal Data that we collect in relation to Children.

1. The registered user of the Platform shall only be the Parent or lawful guardian of the Child, who must be eighteen (18) years or older. The child is a beneficiary and is not a direct user of the Platform.
2. Before processing any personal data of a child, we obtain verifiable consent from the child's parent or lawful guardian in the manner required under the DPDP Act and Rule 10 of the DPDP Rules. This may involve verifying the identity and adult status of the parent using reliable identity or age details already available with us.
3. We do not track or behaviourally monitor children, build profiles of children, or direct targeted advertising at children. Our behaviour-analytics and performance-insight features apply only to adult account holders (Parents and Providers) and to the improvement of the Platform, and are configured to exclude children from any profiling.
4. We do not undertake any processing of a child's personal data that is likely to cause a detrimental effect on the well-being of the child.
5. A child's personal data is used only to enable the Parent to book, schedule and manage classes for that child, and for related safety and administrative purposes described in this Policy. It is not used for any unrelated purpose.
6. Beneficiaries between eighteen (18) and twenty (20) years of age are legally adults, and where a Parent continues to book on behalf of such a beneficiary, the Parent confirms they are authorised to share that person's details, and that person may exercise their own rights under this Policy.

6. RFID Attendance Data

As an optional service, Pickory may issue RFID cards to students registered through the Platform to enable attendance recording by the Provider. Pickory provides the technology infrastructure for this feature.

1. Attendance data generated through RFID cards is/shall be stored in cloud storage (AWS S3) provisioned for, and managed at, the level of the relevant Provider. The Provider determines how that attendance data is used within its academy, and Kleos acts only as its Data Processor under a written data-processing arrangement.
2. RFID data that identifies a specific child is the personal data of a child and is processed subject to the safeguards in Section 5 above, on the basis of verifiable parental consent, for the limited purpose of attendance recording and the safety of the child.
3. Responsibility for the safe custody of an issued RFID card rests with the Parent. If a card is lost or misused, we will disable it on receiving a written complaint and issue a replacement on request, subject to the charges and terms set out in our Terms of Use.

7. Cookies, Tracking and Analytics

We use cookies and similar technologies on the Parent-facing and Provider-facing parts of the Platform to keep you signed in, remember preferences, understand how the Platform is used, manage enquiries, and give Providers insights on the performance of their listings (such as response to sponsored listings and booking conversion). Where possible, this data is aggregated or anonymised.

1. We do not use third-party retargeting or remarketing pixels (such as Facebook Pixel or Google Ads tracking) and we do not use cookies to profile children.
2. You will be informed of our use of cookies when you first access the Platform and can manage non-essential cookies through the Platform's cookie controls or your device/browser settings. Essential cookies are necessary for the Platform to function and cannot be disabled.

8. Service Providers and Data Sharing

We share personal data with the following categories of service providers only to the extent strictly necessary for the services they provide to us, and under contractual obligations of confidentiality and security:

1. Amazon Web Services (AWS) — used for cloud hosting; it shall have Pickory's data, hosted in India where available.
2. Google Maps API — used for maps and location; it shall have access to the pincode and address data, from both Parents and Providers, for discovery (no real-time GPS).
3. MSG91 (Walkover Web Solutions) — used for SMS/WhatsApp OTP; it shall have access to mobile numbers, of both Parents and Providers, for OTP delivery only.
4. Payment Partner — all payment processing is carried out by our Payment Partner as an independent payment service provider. We do not collect or store card numbers, UPI credentials, or other sensitive payment credentials. We retain only transaction references and confirmation records needed to administer bookings, disbursements, refunds and our records. Your use of the Payment Partner's platform is also subject to their own terms and privacy policy.
5. An AI assistant/chatbot, which shall assist with search queries and intent; no AI assistant/chatbot data shall be shared with the Provider.

We may also disclose personal data where required by law, to enforce our Terms of Use, to protect the rights, safety or property of any person, or in connection with a corporate transaction, subject to appropriate safeguards.

9. How We Protect Personal Data

We implement reasonable security safeguards to protect personal data against unauthorised access, disclosure, alteration and loss, including access controls, encryption in transit where appropriate, logical segregation, and scheduled backups on our cloud infrastructure. While we take these measures seriously, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

10. Personal Data Breach

In the event of a personal data breach, we will take steps to contain and remedy the breach and will notify the Data Protection Board of India and affected Data Principals in the manner and within the timelines prescribed under the DPDP Rules.

11. Data Retention and Deletion

We retain personal data only for as long as necessary for the purposes described in this Policy, or for such longer period as required or permitted by law.

1. If a Parent or Provider requests deletion of their account, we retain the associated data for fifteen (15) days or until the relevant Providers confirm that no payment is pending from such Parent, whichever is later, before permanent deletion, to allow the relevant Provider to access booking, payment and attendance records relating to that account before removal. After this period, personally identifiable data of the Parent and child is permanently deleted from our active systems.
2. Transaction and financial records may be retained for longer periods where required under applicable tax, GST, company-law and other statutory requirements.
3. We will follow the retention, minimum-retention and pre-erasure intimation requirements applicable to us under the DPDP Rules, including giving affected Data Principals prior notice before erasure where required.

12. Storage and Cross-Border Transfer

We store personal data on cloud infrastructure located in India where available. To the extent any personal data is transferred to or accessed from outside India by our service providers, such transfer will be made only to the extent permitted under the DPDP Act and any restrictions notified by the Central Government from time to time, and subject to appropriate safeguards.

13. Your Rights as a Data Principal

Subject to applicable law, you have the right to:

1. Access — obtain a summary of the personal data we process about you and the processing activities;
2. Correction and updating — have inaccurate or incomplete personal data corrected, completed or updated;
3. Erasure — request deletion of personal data that is no longer necessary for the purpose for which it was collected, unless retention is required by law;
4. Grievance redressal — have your grievances addressed by us in a timely manner;
5. Nomination — nominate another individual to exercise your rights in the event of death or incapacity; and
6. Withdraw consent — as described in Section 4.

To exercise any of these rights, contact our Grievance Officer. We may need to verify your identity before acting on a request. You also have the right to complain to the Data Protection Board of India.

Duties of Data Principals. When exercising your rights, you must not impersonate another person, suppress material information, or file false or frivolous complaints, and you must provide only authentic information. The DPDP Act prescribes consequences for breach of these duties.

These Terms of Use ("Terms") govern your access to and use of the Pickory mobile application, website and services (the "Platform"), operated by Kleos Ventures LLP, a limited liability partnership registered in Mumbai, India, having its registered office at 18B Citadel Building, Flat No. 401, 4th Floor, LD Ruparel Marg, Nepeansea Road, Mumbai – 400006 ("Kleos", "we", "us" or "our").

By registering for, accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Platform.

These Terms are an electronic record under the Information Technology Act, 2000 and do not require any physical or digital signature.

Definitions

1. "Parent" means a parent or lawful guardian who registers on the Platform to discover and book classes for a child.
2. "Provider" means an academy, coaching centre, activity class or independent teacher that lists services on the Platform.
3. "Child" means an individual who has not completed eighteen (18) years of age, and "Beneficiary" means an individual between the ages of 18 and 20 years on whose behalf a Parent uses the Platform.
4. "Booking" means a reservation of a class made by a Parent through the Platform.
5. "Platform" means the Pickory mobile application and associated website and services.
6. "Platform Fee" means the class-finding/service fee charged by us to a Parent for using the Platform.
7. "Provider Content" means listings, photos, videos, descriptions, schedules and other material uploaded by a Provider.

The Platform

8. Pickory is a technology marketplace and an intermediary. It connects Parents with Providers. We do not own, operate, provide, endorse, certify or guarantee any class, academy, teacher or service listed on the Platform.
9. For the purposes of clarity, kindly note that the contract for any class is directly between the Parent and the Provider. Pickory is not and shall not be a party to that contract. Pickory's role is limited to providing the technology that enables discovery, booking and payment facilitation.
10. We operate as an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and as an e-commerce entity under applicable consumer protection law.

Eligibility and Age Declaration

11. The Platform is intended for use only by individuals who are eighteen (18) years of age or older and competent to contract under the Indian Contract Act, 1872. The registered user is always the Parent — not the Child.
12. At registration, every user must confirm, by a binding declaration, that they are eighteen (18) years of age or above and that the information they provide is true and accurate. Providers additionally confirm that their qualifications, experience and class details are true and self-declared.
13. OTP-based verification is our primary method of authenticating registrations. While we take reasonable steps to enable adult registration, we cannot technically prevent a minor from registering using a mobile number. The age declaration is the binding safeguard, and we accept no liability where a minor registers by circumventing it.

Account Registration and Security

14. You must provide accurate, current and complete information at registration and keep it updated. You are responsible for maintaining the confidentiality of your account and OTP, and for all activity under your account.
15. You must notify us immediately of any unauthorised use of your account. We are not liable for any loss arising from your failure to keep your credentials secure.
16. We may verify, suspend or refuse registration where information is found to be false, misleading or incomplete.

Discovery and Booking

17. The Platform allows you to discover, compare and book classes offered by Providers. Discovery is based on the pincode you provide and is not based on real-time GPS location.
18. All Provider information is self-declared by the Provider. We conduct a reasonable review before a listing goes live, but this review is not a certification, verification or endorsement of the Provider's credentials, qualifications, safety standards or regulatory compliance.
19. You are responsible for conducting your own due diligence before enrolling your child. We strongly encourage you to visit the Provider in person before enrolment.
20. When you complete a Booking, you enter into a contract directly with the Provider on the Provider's terms, which are displayed on the listing page and which you must read and accept before booking.

Platform Fee, Payments and Refunds

21. We charge a Platform Fee (class-finding/service fee) to Parents at the time of Booking. This fee is for the use of the Platform and is separate from, and in addition to, the class fee charged by the Provider.
22. The Platform Fee is non-refundable once a Booking is confirmed, regardless of the Provider's own refund policy, except as expressly stated in clause 25 or as required by applicable law.
23. All our payments are processed through PhonePe/similar payment aggregators. We do not store your card, UPI or any other payment credentials or financial information. Your use of our payment partner is subject to the payment partner's terms and privacy policy.
24. Each Provider sets its own refund and cancellation policy, which is displayed on its listing. We are not responsible for, and do not administer, Provider refunds except to the extent of facilitating a refund initiated by the Provider through the Platform.
25. If a Provider cancels a class after a Booking is confirmed, the class fee will be refunded to the Parent in accordance with the Provider's policy, and the Platform Fee will be refunded.

Reviews and Ratings

26. You may post reviews and ratings of a Provider only after completing a Booking. Reviews must be genuine, based on your own experience, and must not be abusive, defamatory, obscene, false or in breach of any law or third-party right.
27. We may remove a review that is abusive, defamatory, fake or in breach of these Terms, but we do not edit the substance of reviews — a review is either published as submitted or removed.
28. You grant us a non-exclusive, royalty-free, worldwide licence to display, reproduce and distribute your review within the Platform.

Child Safety

29. You are solely responsible for decisions relating to your child's enrolment, attendance and safety. We are not responsible for the safety standards, supervision or conduct of any Provider, teacher or staff member.
30. Any child-safety concern regarding a Provider must be reported to us immediately. We may suspend a listing pending investigation of a safety complaint, but we do not thereby assume any responsibility or liability for the underlying conduct of the Provider or otherwise.

Registration, Verification and Listings

31. Providers must register with accurate, self-declared information. We may review listings before they go live and may decline or remove any listing at our discretion. Our review is not a certification of the Provider.
32. You are solely responsible for all Provider Content you upload and for ensuring it is accurate, lawful, not misleading, and does not infringe any third-party right. You must not post content that is false, deceptive, defamatory, obscene, offensive or infringing.
33. We may remove any Provider Content at our sole discretion, without prior notice, if it breaches these Terms or our listing guidelines.
34. You must not solicit, incentivise or post fake reviews. Violation may result in suspension or removal of your listing.

Subscription Terms

35. Providers access the Platform through a subscription, with tiers ranging from Starter to Custom. Pricing and features are as set out on the Platform or in your subscription order, and may change with prior written notice.
36. A one (1) month free trial is available only on plans of six (6) months or longer. No free trial applies to plans shorter than six months.
37. For plans of six (6) months or longer, the full subscription amount is payable in advance at the time of subscription.
38. Subscription fees are non-refundable once the subscription is activated, regardless of usage.
39. Auto-renewal is an opt-in setting. Where enabled, your subscription renews automatically at the end of the period at the then-current price. We will send renewal reminders 15 days, 7 days and 1 day before the auto-debit date by SMS and WhatsApp. You may disable auto-renewal at any time before the renewal date through your dashboard.
40. No commission is charged on individual Bookings. If payment-gateway costs increase materially, we may pass on such costs or revise the fee structure with prior notice.

Payment Disbursement

41. Payments collected from Parents in respect of a Provider will be held for a period of seven (7) working days before disbursement to the Provider, to allow for dispute resolution, refunds and fraud prevention.
42. Disbursements are made to the bank account nominated by the Provider. The Provider is responsible for the accuracy of its bank and tax (PAN/GST) details, and for its own tax compliance on amounts received.

Suspension and Termination of Listings

43. We may suspend or remove a Provider listing where the Provider breaches these Terms, where a credible safety or legal concern arises, or where required by law.
44. On termination or cancellation of a Provider account, data is handled as described in the Privacy Policy. Accrued obligations, including in respect of confirmed Bookings, survive termination.

Provider Indemnity

You (the Provider) agree to indemnify and hold harmless Kleos and its partners, officers and employees from and against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of or in connection with your Provider Content, your services to any Parent or Child, your breach of these Terms, or your breach of any applicable law.

Intellectual Property

45. All intellectual property in the Platform — including the name and mark PICKORY, the Pickory logo, the application design, the codebase and all proprietary technology — is owned exclusively by Kleos Ventures LLP. A trademark application for PICKORY is pending in Classes 35, 41 and 42.
46. You may not reproduce, distribute, modify, reverse-engineer, or create derivative works from any part of the Platform, or use any Pickory mark, without our prior written consent.
47. Any content you upload (including Provider Content and reviews) remains owned by you. By uploading it, you grant Kleos a non-exclusive, royalty-free, worldwide licence to host, display, reproduce, distribute and promote that content within the Platform for the duration of your account and as reasonably required thereafter for record-keeping and legal purposes.

RFID Terms of Use

48. RFID cards are an optional service offered to registered Providers and students for attendance recording. Cards may be issued to students by the Provider or directly through the Platform.
49. Responsibility for the safe custody of an issued RFID card rests with the Parent or guardian. If a card is lost or misused, we will disable it on receipt of a written complaint and issue a replacement on request at an additional charge.
50. RFID attendance data is stored in cloud storage managed at the Provider level and is processed as described in the Privacy Policy. RFID data that identifies a specific child is subject to the children's-data safeguards in the Privacy Policy.

Prohibited Conduct

You must not use the Platform to: (a) violate any law or third-party right; (b) upload false, defamatory, obscene, harmful or infringing content; (c) impersonate any person or misrepresent your affiliation; (d) introduce malware or interfere with the Platform's operation or security; (e) scrape, harvest or misuse data of other users; or (f) use the Platform for any purpose other than its intended use.

Disclaimers and Limitation of Liability

51. The Platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, regarding the Platform and any Provider, class or service listed on it.
52. We are not liable for any injury, harm, loss or damage — physical, financial or otherwise — suffered by a Child or Parent arising from attendance at, or interaction with, any Provider or class booked through the Platform. All Provider information is self-declared, and we do not certify or endorse any Provider.
53. We do not guarantee uninterrupted or error-free availability of the Platform. We are not liable for downtime, technical errors or data loss caused by force majeure, cyberattack or infrastructure failure.
54. To the maximum extent permitted by law, our total aggregate liability to any user for any and all claims shall not exceed the total amount paid by that user to Kleos (by way of Platform Fee or subscription, as applicable) in the three (3) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Kleos, its partners, officers and employees from any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your use of the Platform, your content, your breach of these Terms, or your breach of applicable law or any third-party right.

Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using the Platform you confirm that you have read the Privacy Policy and, where you provide a child's personal data, that you are the parent or lawful guardian giving verifiable consent to the processing described there.

Grievance Redressal and Intermediary Compliance

55. In accordance with the Information Technology Act, 2000 and the rules made under it, we have appointed a Grievance Officer. Complaints regarding content, conduct or use of the Platform may be sent to the Grievance Officer, who will acknowledge the complaint within twenty-four (24) hours and endeavour to resolve it within fifteen (15) days.

56. We publish these Terms and our Privacy Policy prominently on the Platform and provide a mechanism to report objectionable content, which we will act upon within the timelines prescribed by law.

Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, civil disturbance, epidemic or pandemic, government action, network or power failure, or cyberattack.

Term, Suspension and Termination

57. These Terms remain in force while you use the Platform. We may suspend or terminate your access for breach of these Terms or applicable law, or where required to protect the Platform or other users. You may stop using the Platform and request account deletion at any time, subject to the retention and deletion provisions of the Privacy Policy. Clauses that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity and governing law) survive.

Governing Law, Jurisdiction and Dispute Resolution

58. These Terms are governed by, and construed in accordance with, the laws of India.
59. Subject to clause 60, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over all disputes arising out of or in connection with the Platform or these Terms.
60. The parties shall first attempt to resolve any dispute amicably. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Mumbai and the language shall be English.

Amendments

We may amend these Terms from time to time. We will publish the updated Terms on the Platform and, where the change is material, provide notice. Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance.

Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in effect. Our failure to enforce any right is not a waiver of it. You may not assign your rights under these Terms without our consent; we may assign ours in connection with a corporate transaction. These Terms, together with the Privacy Policy and any subscription order, constitute the entire agreement between you and us regarding the Platform.
